Please read these Terms and Conditions carefully before using the Lockt application.
1. Introduction
Welcome to Lockt!
Lockt ("the App"), developed and operated by Tundra Holding Limited (“Company”, "we," "us," or "our"), is an innovative fitness and productivity application that combines screen time management with step counting functionality. The App blocks specific user-selected applications on your device and requires you to reach a certain number of steps to unlock them, creating a direct incentive for physical movement throughout the day.
These Terms and Conditions ("Terms") govern your access to and use of the App and its associated services (collectively, "Services"). By downloading, accessing, or using the App, you agree to be bound by these Terms, which form a legally binding contract between you and Tundra Holding Limited. If you do not agree to these Terms, you may not use the App or access its Services.
2. Interpretation and Definitions
2.1 Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
2.2 Definitions
For the purposes of these Terms and Conditions:

Application (or "App") means the software program provided by the Company downloaded by You on any electronic device, named Lockt.

Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) in which the Application has been downloaded.

Account means a unique account created for You to access our Service or parts of our Service.

Company (referred to as either "the Company," "We," "Us," or "Our" in this Terms and Conditions) refers to Tundra Holding Limited.

Content refers to content such as text, images, or other information that can be posted, uploaded, linked to, or otherwise made available by You, regardless of the form of that content.

Device means any device that can access the Service such as a smartphone, cellphone, or digital tablet.

Feedback means feedback, innovations, or suggestions sent by You regarding the attributes, performance, or features of our Service.

Free Trial refers to a limited period of time that may be free when purchasing a Subscription.

In-app Purchase refers to the purchase of a product, item, service, or Subscription made through the Application and subject to these Terms and Conditions and/or the Application Store's own terms and conditions.

Personal Data means any information relating to an identified or identifiable individual.

Service refers to the Application.

Subscriptions refer to the services or access to the Service offered on a subscription basis by the Company to You.

Terms and Conditions (also referred to as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

Third-party Service means any services or content (including data, information, products, or services) provided by a third party that may be displayed, included, or made available by the Service.

3. Agreement to Terms
3.1 Acceptance
By using the App, you acknowledge that you have read, understood, and agree to these Terms, our Privacy Policy (available at https://www.locktapp.co.uk/privacy-policy), and any additional policies or agreements referenced herein.
3.2 Updates
We may update these Terms periodically to reflect changes in our Services, legal requirements, or business practices. The updated Terms will be posted on the App and/or Website with a revised "Effective Date," and we may notify you via email or in-App notifications. Your continued use of the App after such updates constitutes acceptance of the revised Terms. It is your responsibility to review these Terms regularly.
3.3 Legal Capacity
You represent that you have the legal capacity to enter into this agreement under the laws of your jurisdiction.
4. Eligibility
4.1 Age Requirement
The App is rated 4+ and is suitable for users of all ages. However, users under the age of 18 (or the age of majority in their jurisdiction) must have the express consent and supervision of a parent or legal guardian to use the App.
4.2 Parental Consent
Parents or guardians who permit minors to use the App assume full responsibility for their use, including compliance with these Terms and any associated risks. Parents and guardians are responsible for monitoring their children's use of the App and ensuring it is appropriate for their age and physical condition.
4.3 Representation
By registering or using the App, you warrant that you meet these eligibility criteria. Misrepresentation may result in immediate account termination without notice or refund.
5. Account Registration and Security
5.1 Account Creation
To access certain features, you must create an account by providing accurate, current, and complete information. You agree to update this information promptly to maintain its accuracy.
5.2 Information We Collect
When you create an account or use our Services, we may collect the following information:

5.3 Account Security
You are solely responsible for:

Safeguarding your account credentials (e.g., username, password).

All activities conducted under your account, whether authorized by you or not.
Notify us immediately at support@locktapp.co.uk if you suspect unauthorized access or a security breach.
5.4 Liability for Breach
We are not liable for losses or damages arising from your failure to secure your account or report unauthorized use promptly.
6. Description of Service
6.1 App Functionality
Lockt functions as a "Screen Time + Step Counter" hybrid application. The App provides the following core features:

App Blocking: You can select specific applications on your device to be blocked.

Step-Based Unlocking: Blocked applications can only be unlocked once you reach a certain number of steps as tracked by the App.

Step Counting: The App tracks your daily step count to monitor your progress toward unlocking blocked applications.

Physical Activity Incentive: This creates a direct incentive for physical movement throughout the day.
6.2 Service Availability
We strive to provide uninterrupted access to the App. However, we do not guarantee that the Service will be available at all times. Access to the Service may be suspended temporarily without notice in the case of system failure, maintenance, repair, or for reasons beyond our control.
6.3 Device Requirements
The App requires a compatible iOS device with the necessary sensors to track steps. You are responsible for ensuring your device meets the minimum requirements for the App to function properly.
7. Subscriptions and Payments
7.1 Subscription Model
Lockt operates on a subscription basis. Access to the full features of the App requires payment of a recurring fee based on your selected plan.

7.3 Free Trial
We may, at our sole discretion, offer a Subscription with a Free Trial for a limited period of time. You may be required to enter your billing information in order to sign up for the Free Trial.
If you enter your billing information when signing up for a Free Trial, you will not be charged by us until the Free Trial has expired. On the last day of the Free Trial period, unless you canceled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.
At any time and without notice, we reserve the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer.
7.4 Auto-Renewal
Subscriptions automatically renew at the end of each billing cycle unless canceled. By subscribing, you authorize the Application Store to charge your designated payment method for each renewal.
7.5 Subscription Cancellation
You may cancel your Subscription at any time. Cancellation can be done through:

Your device's subscription management settings
Cancellation takes effect at the end of the current billing cycle, and you will retain access to the Service until the end of your current Subscription period. No refunds will be issued for unused portions of the period.
7.6 Payment Processing
All payments are handled exclusively by the Apple App Store. You acknowledge and agree that all billing and transaction processes are handled by the Application Store and are governed by the Application Store's own terms and conditions.
We do not collect, store, or process any payment information. If you have any payment-related issues, you must contact the Apple App Store directly.
7.7 Fee Changes
We may, in our sole discretion and at any time, modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Subscription period.
We will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
7.8 Refunds
Except when required by law, paid Subscription fees are non-refundable.
If you wish to request a refund, you must contact the Apple App Store directly, as all refund requests are subject to the Application Store's refund policy.
8. Third-Party Services
8.1 Third-Party Integrations
The App utilizes the following third-party services:

RevenueCat: We use RevenueCat for paywall and subscription management. RevenueCat helps us manage in-app purchases and subscriptions. Your use of the App is also subject to RevenueCat's terms of service and privacy policy.
8.2 Pedometer/ Motion & Fitness
The App may integrate with Pedometer or use your device's motion and fitness data to track your steps. By using the App, you consent to the App accessing this data in accordance with your device settings and permissions.
8.3 No Responsibility for Third-Party Services
We are not responsible for the content, policies, or practices of third-party services. You access these services at your own risk and should review their terms and privacy policies.
8.4 External Links
The App or Website may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
9. Health and Fitness Disclaimer
9.1 General Information
The App provides step counting and app-blocking functionality for motivational and productivity purposes only. It is not intended as medical advice, diagnosis, or treatment, and is not a substitute for professional medical advice.
9.2 Consultation Required
Before starting any fitness program or increasing your physical activity level, consult a qualified healthcare professional, especially if you have pre-existing medical conditions, injuries, or health concerns.
9.3 Assumption of Risk
You use the App at your own risk and accept full responsibility for any physical, emotional, or other consequences arising from its use. By using the App, you understand and acknowledge that engaging in physical activity involves inherent risks, including but not limited to physical injury, discomfort, fatigue, or adverse health effects.
9.4 No Liability
Tundra Holding Limited is not liable for injuries, health complications, or damages resulting from your reliance on or use of the App's features or from increasing your physical activity.
9.5 No Guaranteed Results
We do not guarantee specific outcomes, results, or benefits from using the App. Individual results may vary based on factors such as personal effort, health conditions, genetics, lifestyle, and adherence to physical activity.
9.6 Accuracy of Step Counting
While we strive to provide accurate step counting, the accuracy of step data depends on various factors including your device's sensors, how you carry your device, and environmental conditions. We do not guarantee the accuracy of step counts and are not liable for any inaccuracies.
10. Acceptable Use
10.1 Permitted Use
You agree to use the App solely for personal, non-commercial, and lawful purposes in accordance with these Terms.
10.2 Prohibited Conduct
You may not:

Introduce malware, viruses, or harmful code into the App or related systems.

Attempt to hack, disrupt, or interfere with the App's operations or security.

Reverse-engineer, decompile, disassemble, or modify the App.

Share, sublicense, resell, or otherwise distribute access to the App.

Use the App for any commercial purposes without our prior written consent.

Circumvent or attempt to circumvent any security features of the App.

Use the App in any way that violates any applicable laws, regulations, or third-party rights.

Engage in fraudulent, harassing, or abusive behavior.
10.3 Enforcement
Violations may result in immediate suspension or termination of your account, without refund, and we reserve the right to pursue legal remedies.
11. Intellectual Property Rights
11.1 Ownership
All content, features, and functionality of the App, including but not limited to text, graphics, logos, icons, images, software, algorithms, and the overall design and structure, are owned by Tundra Holding Limited or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.
11.2 Limited License
We grant you a non-exclusive, non-transferable, revocable, limited license to download, install, and use the App on a compatible device that you own or control, solely for your personal, non-commercial purposes, subject to these Terms.
11.3 Restrictions
You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from any part of the App without our prior written consent.
11.4 Trademarks
"Lockt" and associated logos are trademarks of the Company. Unauthorized use is prohibited and may result in legal action.
11.5 Your Feedback to Us
You assign all rights, title, and interest in any Feedback you provide to us. If for any reason such assignment is ineffective, you agree to grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sublicense, distribute, modify, and exploit such Feedback without restriction.
12. Data Retention and Privacy
12.1 Data We Collect and Store

Please note that the list of applications you choose to block is stored only on your device and is not transmitted to or stored on our servers.
12.2 Data Retention Period
Your personal data is retained indefinitely while your account remains active. If you wish to have your data deleted, please contact us at support@locktapp.co.uk.
12.3 Privacy Policy
Your use of the App is also governed by our Privacy Policy, available at https://www.locktapp.co.uk/privacy-policy. By agreeing to these Terms, you consent to our privacy practices as described in the Privacy Policy.
13. Termination
13.1 By Us
We may suspend or terminate your access to the App at our sole discretion, with or without cause, including for:

Violation of these Terms

Non-payment of fees (as applicable through the Application Store)

Suspected fraud or illegal activity

Any other reason we deem necessary to protect the integrity of our Service
13.2 By You
You may terminate your account at any time by:

Deleting the App from your device

Canceling your subscription through the Apple App Store

Contacting us at support@locktapp.co.uk to request account deletion
13.3 Effects of Termination
Upon termination:

Your access to the App and its features will cease.

Any outstanding payment obligations remain enforceable.

We may delete your account data, including step history and preferences.

Provisions such as intellectual property, indemnification, limitation of liability, and dispute resolution survive termination.
14. Disclaimer of Warranties
14.1 "As Is" Basis
The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the App will be uninterrupted, error-free, or free of viruses or other harmful components.
14.2 No Guarantees
We do not guarantee:

The accuracy, completeness, or reliability of the App's content or step counting functionality.

Uninterrupted or error-free operation.

Compatibility with your device or third-party services.

That the App will meet your specific requirements or expectations.

Any specific health, fitness, or productivity outcomes.
14.3 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to you. In such cases, the exclusions and limitations shall be applied to the greatest extent enforceable under applicable law.
15. Limitation of Liability
15.1 Scope
To the fullest extent permitted by law, the Company, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App, including but not limited to:

Loss of data, step history, or progress

Physical or emotional injuries

Service interruptions or errors

Loss of profits or revenue

Personal injury or property damage

Any other damages arising from your use of the App
15.2 Cap on Liability
Our total liability, if any, shall not exceed the amount you paid us (through the Application Store) in the preceding 12 months, or $100 USD if you have not made any purchases.
15.3 Essential Purpose
The limitations of liability set forth above shall apply even if any remedy fails of its essential purpose.
16. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, agents, and licensors from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

Your violation of these Terms

Your violation of any rights of a third party

Any content you submit or transmit through the App
You will cooperate fully in defending such claims at your expense if requested.
17. Dispute Resolution
17.1 Informal Resolution
Before pursuing formal legal action, you agree to attempt to resolve any dispute informally by contacting us at support@locktapp.co.uk. We will respond within 30 days.
17.2 Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
17.3 Jurisdiction
For any disputes that cannot be resolved informally, you consent to the exclusive jurisdiction of the courts of England and Wales, unless local law mandates otherwise.
17.4 For European Union (EU) Users
If you are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident.
17.5 Class Action Waiver
To the extent permitted by law, you waive any right to participate in class actions, class arbitrations, or representative proceedings. Disputes will be resolved on an individual basis.
18. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, in whole or in part, please stop using the App and the Service.
19. Additional Provisions
19.1 Force Majeure
We are not liable for delays or failures in performance due to events beyond our reasonable control, such as natural disasters, pandemics, government actions, cyberattacks, or infrastructure failures.
19.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
19.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us to be effective.
19.4 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or policies published by us on the App or Website, constitute the entire agreement between you and the Company regarding the use of the Service, superseding all prior understandings, agreements, or representations.
19.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
